1. Acceptance of terms
These Terms and Conditions (the "Terms") form a binding agreement between A-Finance LLC and the user of the Vugrix ERP platform (the "Platform") with respect to access to and use of the Platform. By registering for or using the Platform, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, please do not use the Platform.
The Terms are concluded under the Civil Code of the Republic of Azerbaijan, the Law of the Republic of Azerbaijan "On Electronic Commerce" (No. 567-IIQ of 10 May 2005) and the Law of the Republic of Azerbaijan "On the Protection of Consumer Rights" (No. 1113 of 19 September 1995).
2. Description of the service
Vugrix ERP is a multi-tenant enterprise management platform. It brings together — under a single account — company profile, projects, products, services, procurement, warehouse, production, logistics, sales, CRM, marketing, finance, HR and related modules. The set of modules made available to you depends on your subscription plan and the current state of updates.
3. Eligibility and registration
To open an account on the Platform you must (i) be at least 18 years old or have authority to bind the legal entity on whose behalf you act, and (ii) provide accurate, current and complete information. Misleading or impersonating registrations are invalid and may be cancelled without notice.
4. Account and security
You are responsible for the confidentiality of your access credentials (username, password, session) and for all activity carried out under your account. Notify us immediately at support@vugrix.com upon any suspicion of unauthorised access or security breach. We recommend that you use strong passwords and, where possible, enable two-factor authentication.
5. Acceptable use
When using the Platform you agree to refrain from:
- uploading or transmitting content that violates applicable laws, regulations or third-party rights;
- distributing malware, viruses, trojans or other malicious code;
- sending spam, phishing messages, unsolicited bulk communications or misleading correspondence;
- attempting to reverse-engineer, overload, or gain unauthorised access to the system (including DDoS, brute-force, etc.);
- obtaining unauthorised access to other users' personal or business data;
- reselling the Platform as a stand-alone SaaS (other than under an authorised reseller agreement).
Severe or repeated violations may result in suspension or termination of the account without prior notice.
6. Subscription, pricing and payment
Paid plans are billed in advance at the rate displayed on the pricing page. Unless stated otherwise, prices are in US dollars and exclusive of value-added tax; VAT at 18 % is applied where required by the Tax Code of the Republic of Azerbaijan and shown separately on the invoice and payment receipt. Invoices are due on the date stated; overdue payments may result in plan suspension and blocking of paid features.
You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Users qualifying as consumers may have a right of withdrawal under the Law on the Protection of Consumer Rights; that right may not apply to digital services already performed at your request, given the personalised nature or the immediately delivered character of the service.
7. Customer data and refunds
Business data uploaded to the Platform remains yours. Throughout the service period you retain export rights. After account closure you may request a machine-readable export within 30 days; thereafter, personal data is deleted or anonymised in line with our Privacy Policy.
Refunds are considered under the Law on the Protection of Consumer Rights and the subscription terms. Justified refund claims based on service defect are processed within 14 days.
8. Intellectual property
The Platform, all software, source code, design, trademarks, logos and documentation are the exclusive property of A-Finance LLC and are protected under the Law of the Republic of Azerbaijan "On Copyright and Related Rights" and applicable international treaties. These Terms grant you a non-transferable, non-exclusive, limited licence to use the Platform during the active subscription; no ownership rights are transferred to you.
9. Third-party services
The Platform may integrate with services operated by third parties (payment processors, email-delivery providers, etc.). Their terms and privacy policies apply separately and the corresponding provider remains responsible for them.
10. Suspension and termination
We may suspend or terminate your access to the Platform in case of material or repeated breach of these Terms, payment default, fraud, or threat to the integrity of the service. Termination does not affect any payment obligation already accrued. You may end the agreement at any time by deleting your account in your account settings.
11. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Platform is provided "as is" and "as available". We make no express or implied warranties — including fitness for a particular purpose, merchantability or uninterrupted operation. Mandatory consumer warranties under applicable law remain unaffected.
12. Limitation of liability
To the extent permitted by the relevant articles of the Civil Code of the Republic of Azerbaijan, in no event shall A-Finance LLC be liable for indirect, incidental, special or consequential damages (including loss of profits, loss of data, harm to business reputation) arising out of the use of the Platform. Our aggregate liability is limited to the amount you paid for your subscription during the 12 months preceding the claim. This limitation does not apply in cases of intent or gross negligence.
13. Indemnification
You agree to indemnify us against losses, expenses and reasonable legal fees arising out of third-party claims in connection with your use of the Platform in breach of these Terms.
14. Force majeure
Delays caused by circumstances outside the parties' reasonable control (natural disasters, war, telecommunications outages, public-authority orders, epidemics, third-party-service disruptions, etc.) shall not be deemed a breach. If the force-majeure event lasts more than 60 days, either party may terminate the Terms.
15. Changes to the Terms
We may update these Terms from time to time. Material changes will be announced at least 30 days before they take effect through the Platform and / or via your registered email. If you do not agree to the changes, your sole remedy is to terminate your subscription.
16. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of Azerbaijan. The parties shall attempt in good faith to resolve disputes amicably. Unresolved disputes are subject to the exclusive jurisdiction of the Courts of the Republic of Azerbaijan (city of Baku), save for mandatory consumer-protection rules that grant the consumer the right to bring proceedings before the courts of his or her own habitual residence.
17. General provisions
Invalidity of any provision shall not affect the validity of the remaining provisions. These Terms constitute the entire agreement between the parties with respect to the Platform and supersede prior agreements. You may not assign your rights under these Terms without our prior written consent.
